Terms of Service

Welcome to kshitijtiwari.com. These Terms of Service (“Agreement”) govern all professional services, advisory engagements, consulting retainer packages, and mentorship programs provided by Dr. Kshitij Tiwari (“Consultant,” “Mentor,” “we,” “us,” or “our”).

By booking a consultation, issuing a purchase order, executing a service agreement, or submitting payment for any service listed under kshitijtiwari.com/services/, you (“Client,” “Mentee,” or “You”) unconditionally accept and agree to be bound by the terms outlined below.

1. Scope of Services

Dr. Kshitij Tiwari provides specialized deep-tech advisory and educational services across two primary tracks:

A. Fractional CTO (FCTO) & Systems Integrity Services

  • High-level architectural oversight, technical roadmapping, ROS 2/middleware governance, FMEA assessments, and field-readiness advisory for autonomous mobile robotics and AI ventures.

  • FCTO engagements operate strictly on a strategic advisory and governance level. Services do not include freelance, task-level execution coding or full-time operational management unless explicitly scoped in a separate Master Services Agreement (MSA).

B. Mentorship & Research Advisory Services

  • 1-on-1 strategic guidance for Ph.D. candidates, Master’s applicants, early-stage researchers, and high-school scholars (e.g., IRIS/ISEF applicants).

  • Mentorship covers topic selection, mathematical/kinematic oversight, manuscript structure, and academic roadmapping. Mentorship does not include “done-for-you” paper writing, code generation, or guaranteed academic/competition outcomes.

2. Payment Terms & Billing Protocols

A. Advance Payment Requirement

All retainer packages, strategy calls, audit sprints, and mentorship sessions require 100% advance payment prior to calendar booking, link issuance, or commencement of document/code reviews. Work will begin strictly upon receipt of cleared funds.

B. Strict Non-Refundability

All fees paid for FCTO retainers, Systems Integrity Audits, strategy calls, research guidance, or academic mentorship are strictly non-refundable under all circumstances. This applies regardless of client attendance, early termination by the client, project scope changes, application outcomes, or early completion of milestones.

C. Retainer Validity & “Use-It-or-Lose-It” Policy

  • Session Caps: Monthly retainers include a strict cap on live video/audio meetings (e.g., up to 4 sessions per month, maximum 60 minutes per session, spaced at a maximum of one session per week) unless stated otherwise in writing.

  • No Carry-Forwards: Unused meeting allocations or advisory hours within a 30-day billing cycle expire at the end of that cycle. Unused allocations cannot be rolled over to subsequent months or converted into cash credits.

  • Rescheduling Policy: Cancellations or requests to reschedule a confirmed call made less than 24 hours prior to the session will result in immediate forfeiture of that session.

3. Engagement & Communication Boundaries

A. Attendance & Authorized Participants

  • Mentorship Sessions: Sessions are strictly 1-on-1 between Dr. Kshitij Tiwari and the designated Mentee. For mentees who are legal minors, one parent or legal guardian may join as an observer. Third parties, peers, or unauthorized guests are strictly prohibited.

  • FCTO / Corporate Sessions: Attendance is limited to designated leadership or engineering personnel agreed upon prior to the call.

B. Asynchronous Communication

Email and messaging communication between sessions is conducted strictly during standard business operating hours and within the pre-defined scope of the active retainer package.

4. Intellectual Property & Anti-Piracy Policy

  • Proprietary Frameworks: All advisory frameworks, audit methodologies, guides, and strategic documents provided by Dr. Kshitij Tiwari remain the sole intellectual property of Dr. Kshitij Tiwari.

  • Client IP Retention: Proprietary code, trade secrets, and hardware designs disclosed by the Client during FCTO or advisory engagements remain 100% the property of the Client.

  • Prohibition of Recording: Unauthorized audio/video recording, screen capturing, public broadcasting, or commercial distribution of live sessions, code reviews, or advisory materials without prior written consent is strictly prohibited.

5. Disclaimers & Limitation of Liability

A. No Guarantee of Specific Outcomes

While services are rendered using doctorate-level technical rigor and industry best practices, Dr. Kshitij Tiwari makes no guarantees regarding specific venture funding rounds, commercial sales targets, university admissions, research grant approvals, competition placements (e.g., IRIS/ISEF), or paper publication acceptances.

B. Limitation of Liability

In no event shall Dr. Kshitij Tiwari be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to advisory services. Total aggregate liability under any circumstances shall not exceed the total fees paid by the Client to Dr. Kshitij Tiwari during the single month preceding the claim.

6. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes or claims arising out of these terms shall be subject to the exclusive jurisdiction of the competent courts in India.
